Agreement v1.0 — effective 2026-06-19
This Authorized Sales Partner Agreement ("Agreement") is between Molokai Tech Services LLC,
d/b/a manaMOBILE ("manaMOBILE", "we", "us"), and the business identified in this signup form ("Partner", "you").
By checking the acceptance box and submitting, you agree to the following.
1. Appointment
manaMOBILE appoints you as a non-exclusive authorized sales partner to promote and sell the
Authorized Plan to in-store customers. This Agreement creates no exclusive territory and no minimum sales obligation.
2. The Authorized Plan
You are authorized to sell the single premium plan we designate on the manaMOBILE Nationwide 5G
network, at the in-store retail price manaMOBILE sets and publishes. You may not offer other plans,
alter pricing, or make unauthorized bundles without our written approval. The current Authorized Plan
and residual rate are posted in your partner portal.
3. How you are paid
- Monthly residual: a fixed dollar amount per active line per month (the then-current
residual rate, initially $4), paid monthly in arrears, for as long as (a) the line remains active
and current on payment, and (b) this Agreement remains in effect and you remain in good standing.
- Residual rate: manaMOBILE sets and may update the residual rate. The current rate
is posted in your partner portal. You earn at the rate in effect at the time the line was activated.
- Clawback: residuals are reversed for any line that is refunded, charged back,
cancelled, or fails to remain active through its first 60 days. We pay on real, retained, paying customers only.
- How we pay you: commissions are tracked in your partner portal and paid by Venmo
to the handle you provide, on a monthly basis. Keep your Venmo handle current. You are responsible for your own
taxes (issued on Form 1099 where applicable).
4. Your responsibilities
- Present the plan honestly and accurately. Never use the word "unlimited" or any claim we have
not authorized. State data amounts in concrete GB.
- Complete each in-store activation properly, including helping the customer install their eSIM and
enrolling a valid payment method for automatic monthly billing so the line renews.
- Use only manaMOBILE-approved marketing materials and your assigned partner code / QR. Do not name underlying
host carriers in your own advertising.
- Comply with all applicable laws, including FCC truth-in-advertising rules, and protect all customer information
(including CPNI) you handle. Do not misuse, sell, or retain customer data.
- You act as an independent contractor. You have no authority to bind manaMOBILE or to make promises on our behalf.
5. Our responsibilities
We provide your portal access, unique partner code and QR, approved materials, and we handle customer
provisioning, billing, customer support, and calculation and payment of your incentives and residuals.
6. Relationship
You are an independent contractor, not an employee, agent, partner, or joint venturer of manaMOBILE. Nothing
here creates an exclusive dealing, franchise, or employment relationship.
7. Term and termination
This Agreement is at-will. Either party may end it with 30 days' notice; we may end it immediately for cause,
including fraud, false or "unlimited" claims, gaming of incentives, or violation of law. On termination, we pay
incentives and residuals earned and unpaid through the termination date; residuals stop accruing once the Agreement ends.
8. Confidentiality
Pricing, wholesale terms, customer data, and program details are confidential. You will not disclose or use them
except to perform under this Agreement.
9. No warranty; limitation of liability
The program is provided "as is." To the maximum extent permitted by law, manaMOBILE's total liability under this
Agreement is limited to incentives and residuals properly earned and unpaid. Neither party is liable for indirect or
consequential damages.
10. Governing law
This Agreement is governed by the laws of the State of Hawaiʻi. The parties consent to the jurisdiction of the
state and federal courts located in Hawaiʻi.
11. Changes
We may update the Authorized Plan, pricing, materials, and incentive amounts on reasonable notice. Continued
selling after a change means you accept it. Material changes to incentive rates will be communicated before they take effect.
12. Electronic acceptance
By checking the box below and submitting, you confirm you are authorized to bind your business and you agree to
this Agreement. Your acceptance, the date and time, your IP address, and this version are recorded as your electronic
signature under the federal E-SIGN Act and Hawaiʻi's UETA.
